- ELIGIBILITY: Open to residents of the 50 United States and D.C., 21 years of age and older as of December 21, 2023. Employees, independent contractors, officers, directors, and agents of Miramar Acquisition Co., LLC d/b/a Rosewood Miramar Beach ("Sponsor"), Rosewood Hotels and Resorts, L.L.C., and their respective affiliates, agencies, suppliers, and immediate family members of each are not eligible to participate in the 100K Giveaway. The Giveaway is subject to all applicable federal, state, and local laws. Void where prohibited.
- HOW TO ENTER: The New Year’s Eve Le Bal Cristal Gala Giveaway (“Sweepstakes” or “Giveaway”) begins on December 21, 2023, at 11 am PST, and runs through December 22, 2023, at 8 pm PST (“Entry Period”). To participate and enter this Sweepstakes, individuals will need a mobile device (e.g., mobile phone or tablet) that can access the Internet and uses either the Apple or Android platform. Additionally, individuals will need to download the Instagram application from their mobile device’s app store and sign-up for an Instagram account (“Instagram Account”) if you do not already have an Instagram Account. Creating an Instagram Account is free. By submitting your information and creating an Instagram Account, entrants are required to agree to the Instagram terms of service and privacy policy. If you do not agree to Instagram’s terms of service and privacy policy, you cannot create an Instagram Account or participate in this Sweepstakes. Next, individuals will need to follow Rosewood Miramar Beach’s Instagram Account “@RosewoodMiramarBeach.” To enter via Instagram, during an Entry Period (see above), follow the call-to-action provided in any advertising for the Giveaway on how to submit an entry. The call-to-action for this Giveaway will require entrants to: (i) Like the reel posted, (ii) “tag” at three friends in the Sponsor-provided reel posted from the Sponsor’s Instagram Account, and (iii) entrants must also post Sponsor’s Instagram Reel to their Instagram Stories and tag Sponsor (@rosewoodmiramarbeach). Limit of one (1) entry per person will be accepted during the Entry Period. Subsequent attempts made by the same individual to submit multiple entries by using multiple or false contact information or otherwise will be disqualified. Entries generated by a script, computer programs, macro, programmed, robotic or other automated means are void and will be disqualified. Entries that are in excess of the stated limits, incomplete, illegible, corrupted, damaged, destroyed, forged, false, lost, late or misdirected, deceptive or otherwise not in compliance with the Official Rules will be disqualified from the Giveaway, at Sponsor’s sole and absolute discretion. Illegible and/or incomplete entries and entries submitted by entrants who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void. Those who do not follow all of the instructions or abide by these Official Rules or other instructions of Sponsor will be disqualified. Sponsor is not responsible for any changes or unavailability of the Instagram service that may interfere with the Giveaway (including any limitations, any restrictions, or any conditions on Sponsor’s ability to use such services for the Sweepstakes as set forth herein that are not acceptable to Sponsor) or ability of entrant to timely enter, receive notices or communicate with Sponsor via Instagram, in which case Sponsor, in its sole discretion, may terminate or modify the Giveaway. In the event of a dispute concerning who submitted an entry, the entry will be declared to have been made by the registered account holder of the email address associated with the account for the potentially winning entrant, but only if that person meets all other eligibility criteria. A registered “account holder” is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Potential winners may be required to provide Sponsor with proof that he/she is the registered account holder for the email address associated with the account for the potentially winning entry. If a dispute cannot be resolved to Sponsor’s satisfaction, the entry will be deemed ineligible. Any damage made to any website or the Instagram service will be the responsibility of the registered account holder of the email address for the account submitted at the time of entry. Should any such damage be made, the Sponsor reserves the right to seek monetary damages to the fullest extent permitted by law. Sponsor may run multiple campaigns, contests, sweepstakes or other promotions simultaneously. Entry into one (1) campaign, contest or sweepstakes does not constitute entry into any other.
- DRAWING: A random drawing will be conducted on December 22, 2023, at 8 pm PST by a third-party Administrator to select the winner from among all eligible entries received. The potential winner will be announced in Sponsor’s Instagram Stories on December 26, 2023, at 11 am PST and notified by Instagram Direct Message (“DM”) and must reply to @rosewoodmiramarbeach within 4 days of the date notice is sent or such later date set by Sponsor. Failure to respond within the applicable time period will result in forfeiture of prize and Sponsor shall have the option to award the prize to an alternate winner. The return of any prize notification or prize as undeliverable may result in disqualification and an alternate winner may be selected. All income taxes resulting from acceptance of prize are the responsibility of winner. By entering this sweepstakes, entrant accepts and agrees to these Official Rules and the selection of the winner by the Administrator, which shall be final in all matters. Acceptance of a prize also constitutes permission to the Sponsor to use winner's name and likeness for marketing purposes without further compensation or right of approval, unless prohibited by law. All federal and state laws apply.
- LIMITATION OF LIABILITY: BY ENTERING THIS SWEEPSTAKES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ENTRANTS WAIVE ALL RIGHT TO, AND HOLD THE SPONSOR, INSTAGRAM, AND EACH OF THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS HARMLESS FROM, ANY CLAIM, LIABILITY, LOSS, DAMAGE (INCLUDING PUNITIVE, INCIDENTAL, AND CONSEQUENTIAL DAMAGES), OR EXPENSE (INCLUDING ATTORNEYS' FEES) DIRECTLY OR INDIRECTLY, AND WHETHER OR NOT CAUSED BY NEGLIGENCE, ARISING OUT OF OR IN CONNECTION WITH (i) PARTICIPATION IN THIS SWEEPSTAKES OR THE ACCEPTANCE, USE, OR MISUSE OF ANY PRIZE; (ii) ELECTRONIC OR HUMAN ERROR IN THE ADMINISTRATION OF THE SWEEPSTAKES OR THE PROCESSING OF ENTRIES; (iii) TECHNICAL ERRORS OF ANY KIND, INCLUDING BUT NOT LIMITED TO THE MALFUNCTION OF ANY COMPUTER, NETWORK, HARDWARE, OR SOFTWARE; AND/OR (iv) THE UNAVAILABILITY OR INACCESSIBILITY OF ANY TRANSMISSIONS, TELEPHONE, OR INTERNET SERVICE. Sponsor and Instagram will not be responsible for: late, incomplete, or incorrect entries; an entrant's failure to receive prize notices due to entrant's spam, junk e-mail, or other security settings or for entrants' provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this Sweepstakes; by any human error which may occur in the processing of the entries in this sweepstakes; or any typographical, technological, or other error in the publishing of the offer, administration of the sweepstakes, or announcement of the prize[s]. If, in the Administrator's opinion, there is such an error, or there is any suspected evidence of tampering with any portion of the sweepstakes, or if technical difficulties (including viruses and bugs) compromise the integrity of the sweepstakes, Sponsor reserves the right to request that the Administrator, in its sole discretion, cancel or modify this Sweepstakes in a manner deemed appropriate by the Administrator. In the event of termination, winners will be selected from among all eligible entries received as of date of termination. In the event a dispute arises as to the identity of a potentially winning entrant, entries will be declared made by the name on the online entry form. This Sweepstakes is in no way sponsored, endorsed, administered by, or associated with Instagram.
6. PRIZE[S]: One (1) confirmed winner of the Giveaway will receive the following prize: Two tickets to the New Year’s Eve Le Bal Cristal Gala at Rosewood Miramar Beach (valued at approximately $1,100). Prize is only valid for the event on December 31, 2023 and cannot be extended for use beyond this date. The tickets are non-transferrable, and not redeemable for cash or credit value if not utilized or only partially utilized. The original tickets must be presented upon check-in at the event. Tickets cannot be sold online or to any third party. Additional terms and conditions may apply. No substitution or transfer of prize permitted by winner. All prizes will be awarded. If a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded. Odds of winning depend on the number of eligible entries received.
- CHOICE OF LAW AND FORUM: Entrant agrees that all matters arising out of or relating to this Giveaway and these Official Rules are governed by, and construed in accordance with, the laws of California, without giving effect to any of its conflict of laws provisions thereof. Entrant further agrees that any legal suit, action, or proceeding arising out of or relating to this sweepstakes and these Official Rules shall be brought exclusively in the applicable federal or state courts located in Los Angeles,
